Terms of Service

These Terms of Service ("Terms") govern access to and use of the Trooly platform, websites, applications, and related services (collectively, the "Services")

By creating an account, accessing, or using the Services, you ("Customer" or "you") agree to be legally bound by these Terms.

1. Acceptance and Authority

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.


If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind such entity to these Terms.

2. Relationship to Other Governing Documents

These Terms incorporate by reference the following documents:

  • Privacy Policy, which governs how trooly collects, uses, and processes personal data in connection with the Services.
  • Consent to Participate and Data Use Agreement ("Consent Form"), which governs research participant consent and the collection and use of participant data in connection with specific interviews or studies.

In the event of any conflict:

  • The Consent Form controls with respect to participant consent, rights, and interview-specific data.
  • These Terms control with respect to Customer access to, and use of, the Services and research data.

3. Scope of Services; Platform Nature

The Services are provided on an automated, self-service platform basis only.

The Services do not include human-led research services, consulting, analysis, advisory services, or guarantees regarding research outcomes. Any insights, summaries, analyses, or outputs generated through the Services are produced automatically and are provided for informational purposes only.

trooly does not verify the accuracy, completeness, or reliability of participant responses and does not guarantee that any project, interview, or research session will be fulfilled.

4. Account Registration and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • Managing access permissions for your users, employees, or representatives;
  • All activities conducted under your account.

You agree to notify trooly promptly of any unauthorized access or security breach related to your account.

5. Research Data Access and Use (Customer Obligations)

5.1 Types of Research Data

In connection with the Services, you may be granted access to research data, which may include:

  • Audio or video interview recordings;
  • Transcripts, summaries, analyses, or reports;
  • Limited background or contextual information about research participants.

Such data may include personal data or potentially sensitive information under applicable law.

5.2 Permitted Uses

You may use research data solely for:

  • Internal research, analysis, and product or service improvement;
  • Business strategy, innovation, and decision-making;
  • Use of de-identified excerpts for external presentations, publications, or marketing materials, provided that no individual is reasonably identifiable.

5.3 Prohibited Uses

You agree that you will not, directly or indirectly:

  • a)Publicly disclose, publish, or distribute any research data containing identifiable participant information, including names, facial images, voice recordings, screen content, or contextual details that could reasonably identify an individual;
  • b)Attempt to re-identify any participant or combine research data with other datasets to infer identity;
  • c)Contact or attempt to contact any participant outside the scope of the applicable research activity;
  • d)Sell, license, sublicense, transfer, or provide research data to any third party without authorization;
  • e)Use research data for purposes outside the agreed research scope or in violation of applicable law.

6. Customer Responsibilities and Compliance

You are solely responsible for:

  • Ensuring that your use of the Services complies with applicable laws and regulations;
  • Obtaining any legally required consents, approvals, or permissions for your research activities;
  • Ensuring that any data you upload or submit does not infringe third-party rights.

You must not upload, collect, or submit through the Services:

  • Government-issued identification numbers;
  • Financial account or payment card information;
  • Account passwords or authentication credentials;
  • Biometric identifiers intended for identification purposes;
  • Health information subject to enhanced protection under applicable law.

trooly reserves the right to remove any such data from the Services.

7. Platform Data Use and AI Systems

trooly may use research data, in accordance with the Consent Form and Privacy Policy, for:

  • Operating, maintaining, and improving the Services;
  • Quality assurance, security, compliance, and analytics;
  • Developing, training, validating, and improving automated or AI systems using aggregated or de-identified data only.

trooly will not use Customer-specific identifiable research content for AI training without separate written authorization.

Any outputs generated using automated or AI features are provided "as is", and you are solely responsible for any reliance on such outputs.

8. Data Retention and Deletion

  • trooly retains research data only as long as reasonably necessary to provide the Services, comply with legal obligations, and maintain system integrity.
  • Aggregated or de-identified data may be retained indefinitely.
  • You remain responsible for compliance with these Terms with respect to any research data retained by you after delivery.

Participant deletion requests will be handled in accordance with the Consent Form and applicable law.

9. Suspension and Termination

trooly may suspend or terminate your access to the Services if you materially breach these Terms, misuse research data, or create legal, security, or compliance risks.

Termination does not relieve you of obligations that by their nature should survive termination, including data use restrictions and confidentiality obligations.

10. Confidentiality

Each party agrees to protect the other party's non-public business, technical, or operational information disclosed in connection with the Services and to use such information solely for purposes of performing under these Terms, unless disclosure is required by law.

11. Disclaimer of Warranties

THE SERVICES AND ALL RESEARCH DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TROOLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TROOLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR RESEARCH DATA.

13. Modifications

trooly may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of [California / New York], without regard to conflict-of-laws principles.
